Job Specification:
Reporting to the Chief Operating Officer, the VP Legal/Transaction Manager will be the primary point of contact for the completion of transactions undertaken by our client.
Key responsibilities will include:
Lead transactions through documentation phase to contract signature and closing.
Advising, structuring, drafting, negotiating and executing aircraft leasing and financing transactions, documentation and contracts including cross-border aircraft lease agreements, sale and purchase agreements, lease restructuring agreements, novation agreements and financing agreements.
Key point of contact in contract negotiations with airlines, banks, aircraft buyers and sellers, manufacturers and maintenance providers.
Lead deal teams and coordinate input from the Company technical, credit, finance and origination departments and external advisors including legal and tax advisers, into transaction negotiation and documentation.
Ensure that all documentation is completed to meet deadlines and in accordance with the required standards and guidelines.
Ensure all appropriate approvals are in place prior to deal closure including KYC, deal review, shareholder approvals.
Liaising with customer/customer’s counsel, financier/financier’s counsel, tax advisers and local counsel to ensure all CPs to new aircraft delivery financing/refinancing/AOG/redelivery requirements are timely met.
Liaise with Finance and Contracts Management teams regarding the post-closing and implementation of new transactions, ensuring accurate creation, verification and actioning of diary dates for future events derived from relevant documentation.
Appoint and manage external legal and tax advisors in all relevant jurisdictions.
The management and resolution of issues and disputes with lessors, financiers, airlines, manufacturers and other third parties and the management of relationships with other stakeholders and external service providers, including law firms.
Provide input and expertise to cross-functional deal teams in initial transaction structuring process and in letters of intent and term sheets.
Manage airline defaults, aircraft repossessions, dispute resolution and litigation matters.
Advise the company and its subsidiaries on legal issues incident to the company’s activities, including aviation, contractual, regulatory and compliance matters.
Assist in other projects as required.
This position requires an enthusiastic individual with strong drafting and organizational skills. An eye for detail and the ability to work with minimal supervision are key.

Review and prioritize engine assets received for purchase.

Engine Modelling
-Continually working to improve Company Models using Company and industry data, technical knowledge and results of previously purchased assets.
-Technical Record
-Set priority for engines being acquired to ensure we meet the timelines set by agreements.
-For material in stock ensure programs records are working together to ensure LLP BTB Trace is on going to obtaining market acceptable documentation
-Work with records team as may be necessary to provide guidance and industry knowledge for successfully closing open items and closing on each asset.
-Work Scoping and Asset Disposition
-Determine shop with disassembly induction dates.
-Establish proper workscope to be written for each acquired asset, i.e. complete disassembly, module level inspection, etc.
Repair Processing
-Upon receipt of engine disassembly manifest, based on the modeling inventory levels and product line input, establish 1st wave of material to be sent for repair, set priority, and manage Repair Administrator to expeditiously process RO and periodic follow up to reduce TAT’s. This process will also take place with in house inventory; periodically establishing Spec Repair opportunities.
-Provide repair approval for quotes received outside of the Repair Administrator limit.
-Provide problem resolution as may be required from time to time, while maintaining our long standing relationships.
SKILLS AND EXPERIENCE
Must have demonstrated work skills, achievements and Supervisory experience in an aircraft engine management position.
Must have a thorough understanding of the current ASA standards, Federal Aviation Regulations, Engine Manuals, as well as inspection methods and techniques.
Familiar with: FAA 81303, EASA Form One, CAAC, FAA Voluntary Industry Distributor Accreditation Program

About the Role:
As a Technical Asset Manager, you will lead the charge in managing technical data through best-in-class systems and processes. Working closely with internal and external stakeholders, you will streamline workflows, enhance data accessibility, and develop innovative methods for data storage, analysis, and visualization. Your expertise will support the acquisition, leasing, and sale of aircraft assets, ensuring precision and efficiency every step of the way.
Your Key Responsibilities:
Data Management: Maintain accurate specifications for all aircraft and engines, oversee asset configuration, and manage technical records throughout their lifecycle.
Audits & Compliance: Coordinate on-time, within-budget technical audits and manage aircraft audits schedules along with the recording of technical data in the system.
Systems Expertise: Collaborate with IT and external providers to optimize management reports, analytics, and data visibility.
Analysis: Support maintenance reserve calculations, aircraft trading, and remarketing teams with up-to-date technical and financial data.
Forecasting: Assist in developing fly forward reports, engine forecasts, fleet-wide issue tracking, and maintenance cash flow models.
What We’re Looking For:
Hands-on knowledge of Aerlytix CMS, Sysco Lease Manager, or similar systems.
Advanced proficiency in Microsoft Excel and familiarity with data analytics tools.
Expertise in digital records management systems is highly desirable.
A functional understanding of aircraft technical practices and processes.
Proven experience (8+ years) in aircraft leasing or maintenance within a lessor, airline, or consultancy.

Responsibilities:
Create and deliver the sales strategy
Originate and identify new aircraft lease opportunities
Remarket aircraft coming off lease from the current portfolio
Negotiate LOI and lease documentation
Oversee transaction through to closing and delivery of aircraft
Maintain relationships with current airline customers
Manage effective relationships with internal and external departments to ensure transactions close smoothly and in a timely manner.
Required skills and experience
5+ years commercial experience within the aircraft leasing industry
A demonstrable track record in the origination and closing of aircraft lease transactions
